Halo Terms of Service

These Terms of Service ("Terms") are an agreement between you and Huzi, Inc. ("Halo," "we," "us," or "our"). They govern your use of the Halo service — including the huzihalo.com website and dashboard, the Halo assistant you reach by text message, and the websites, videos, images, and other materials Halo creates and hosts for you (together, the "Services").
Please read these Terms carefully. Section 19 contains an arbitration agreement and class action waiver that affect how disputes between us are resolved. You can opt out of arbitration within 30 days — Section 19 explains how.
1. Agreeing to These Terms
By creating an account, clicking "I agree" (or similar) where these Terms are presented, completing a purchase, or continuing to use the Services after we've given you notice of these Terms (including by text message with a link to them), you agree to these Terms and to our Privacy Policy.
You represent that:
- you are at least 18 years old;
- you are using the Services for business or professional purposes — Halo is a professional marketing tool, not a consumer service;
- if you use the Services on behalf of a brokerage, team, or company, you have authority to bind it, and "you" includes it; and
- you hold any real estate license or other authorization required for the marketing activities you conduct through the Services, or are otherwise lawfully permitted to market real estate services.
2. What Halo Is
Halo is an AI-powered marketing assistant for real estate professionals. Through a conversation over iMessage/text or the web dashboard, Halo can create and host marketing websites for you (on a Halo-provided subdomain or your own custom domain), generate walkthrough videos and marketing images, capture inquiries from visitors to your sites, and perform related marketing tasks.
You are talking to an AI. The Halo assistant is an automated system, not a human. Our staff may review conversations for support, safety, and quality purposes, and may occasionally step in. Like all AI systems, the assistant can make mistakes — see Sections 6 and 16.
We are always improving the Services and may add, change, or remove features. If we materially reduce core functionality of something you've paid for, we'll give you reasonable notice.
3. Your Account
You can create an account by texting Halo or signing up on the web. Texting us from a new phone number or iMessage address creates a limited provisional account associated with that number or address.
Keep your account information accurate and up to date. Anyone who messages us from your registered phone number or iMessage handle, or who accesses your account through your logged-in devices, is treated as you — keep your devices and handles secure and tell us right away at support@huzi.ai if you suspect unauthorized use.
Authorized Halo personnel can access accounts — including workspaces, sites, and conversation history — to provide support, investigate abuse or fraud, maintain the Services, and comply with law. See our Privacy Policy for details.
4. Subscriptions, Orders, and Billing
Subscriptions. Halo subscriptions renew automatically (monthly or annually, depending on the plan you choose) until you cancel. The price, billing interval, and renewal terms are disclosed at checkout, where we ask for your consent to automatic renewal. Your subscription remains active until the end of the period you've paid for.
Cancellation. You can cancel anytime in Settings → Billing, or by asking Halo by text to cancel. Cancellation takes effect at the end of your current billing period. We do not provide refunds or credits for partial billing periods, except where required by law.
One-time purchases. Some things are one-time purchases — for example, listing website + video packages and additional smart sites. The price is shown at checkout or described by the assistant before we send you a checkout link. We don't promise a fixed hosting term or a set number of revisions for these purchases. We may change what a package includes on notice, and any change applies to orders placed after it.
Price changes. We may change prices with notice to you. Changes to subscription pricing take effect at your next renewal, and for annual plans we'll give you at least 30 days' notice.
Promotions and codes. Promo, partner, and affiliate codes are subject to their stated conditions, are generally limited to one per customer, have no cash value, and may be modified or revoked if we suspect misuse. Using another customer's affiliate code does not change what you pay; it does let that customer see limited information about your account, as described in Section 21 and our Privacy Policy. Complimentary ("comped") access is discretionary and revocable.
Payment processing. Payments are processed by Stripe. You authorize us (through Stripe) to charge your payment method for amounts you owe. If a payment fails, we may suspend paid features until it's resolved. You're responsible for any applicable taxes.
5. Your Content
"Your Content" means everything you provide to the Services: photos, headshots, logos, listing details, documents, brand and survey information, messages, and any other material.
You own Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt (for example, to resize, format, edit, or stage images at your direction), publish, transmit, back up, and display Your Content as needed to provide, secure, and improve the Services. We will only use Your Content to promote Halo (for example, featuring your site as an example) with your permission.
You represent and warrant that you have all rights needed to provide Your Content and to have us use it as described, including that:
- you have the right to use any listing photos, MLS/IDX data, and property information you provide, consistent with your MLS agreements and listing agreements;
- you have permission from any identifiable people in photos you provide; and
- Your Content does not infringe anyone's rights or violate any law.
6. AI-Generated Content
Ownership. As between you and us, and to the extent we hold any rights in them, we assign to you the deliverables the Services generate for you — your websites, videos, images, and marketing copy — upon payment of any applicable fees. Outputs are subject to the terms of the third-party AI providers we use, and because AI models can produce similar results for similar prompts, we can't guarantee outputs are unique to you.
You must review before you publish. AI-generated content can be inaccurate, incomplete, or otherwise problematic. You are the publisher of your marketing. You are responsible for reviewing all generated content — including content published through automated features like Smart Updates — for accuracy and legal compliance before and after publication. Halo does not provide legal, brokerage, fair-housing, financial, or other professional advice, and generated content is not a substitute for it.
Altered and virtually staged images. Some tools digitally modify real photographs (for example, virtual staging or background removal). Wherever you use an altered image, you are responsible for disclosing the alteration ("virtually staged" or similar) as required by law, MLS rules, and REALTOR® ethics obligations. Walkthrough videos include a CGI disclosure; you agree not to remove required disclosures.
7. Published Sites and Hosting
Subdomains. Sites published on Halo-provided domains (such as *.huzi.site) use a
subdomain we assign or approve. Subdomains are licensed to you — revocable,
non-exclusive, and non-transferable. We may reclaim or reassign a subdomain with
notice where reasonably necessary (for example, trademark disputes or abuse).
Custom domains. You may connect a domain you own. You're responsible for your domain registration, renewal, and DNS configuration. We aren't responsible for site or certificate issues caused by your DNS settings or registrar.
Automated updates. If you enable standing instructions or scheduled features (such as Smart Updates), you authorize Halo to automatically edit and republish your live site on your behalf per those instructions, without individual approval of each change. You remain responsible for your live site's content. We keep snapshots of your site and can restore an earlier version on request.
Lead capture. Published sites include contact/lead forms. Visitor submissions are delivered to you and handled as described in Section 10 and our Privacy Policy.
Third-party scripts. If you ask Halo to install third-party tags, pixels, or analytics (for example, Meta Pixel or Google Analytics) on your site, you're responsible for your use of those tools, including any notices or consents your visitors are owed.
Visibility. Published sites are public. They are configured to be indexable by search engines and readable by AI crawlers and assistants (including machine-readable site summaries). Don't publish anything you don't want to be public.
Availability. We aim for high availability but the Services are provided without an uptime guarantee or SLA. We may perform maintenance and may suspend publishing or take a site offline as described in Section 15.
8. Your Professional Compliance Responsibilities
You — not Halo — are responsible for making sure your marketing complies with the laws and rules that apply to you as a real estate professional, including:
- Fair housing. The federal Fair Housing Act and state/local equivalents. Review all marketing content, however generated, for discriminatory statements, preferences, or targeting.
- License and advertising rules. Your state licensing rules, including required brokerage identification and advertising disclosures.
- MLS and listing data. Your MLS's rules for use and display of listing data and photos, including virtual staging and photo-alteration disclosure rules.
- Accuracy. The truthfulness of claims about properties, your credentials, and your track record.
- Your own outreach. If you export leads or contact people outside the Services, compliance with telemarketing, texting, and email laws (TCPA, CAN-SPAM, and state equivalents) is on you.
Halo provides marketing tooling and built-in guardrails, but does not review your content for legal compliance and makes no representation that generated content complies with the rules above.
9. Text Messaging
By texting Halo, or by providing your phone number and starting a conversation, you consent to receive recurring automated text/iMessage messages from Halo at that number — including replies from the assistant, service and account notifications, and (only with any separately required consent) promotional messages. Message frequency varies. Message and data rates may apply.
Opting out. You can opt out of texts at any time — reply STOP (or just tell Halo to stop texting you), or contact support@huzi.ai. Reply HELP for help. We honor any reasonable opt-out request. Opting out of promotional messages doesn't stop essential service messages (like login codes) unless you close your account. Note that if you opt out of all texting, core parts of the Services won't work, since Halo is conversation-based.
Mobile carriers aren't liable for delayed or undelivered messages.
10. Leads and End User Data
"End Users" are people who visit or submit information on your published sites. "End User Data" is the information they submit (such as name, email, phone, and message) plus related technical data (such as IP address and browser information).
Roles. For End User Data, you are the data controller/"business" and Halo acts as your processor/"service provider."
What we do. We collect End User Data on your behalf, screen it for spam and abuse (including with automated/AI tools — you instruct us to do this), store it, and deliver it to you. We process End User Data only to provide the Services to you and as you direct; we do not sell it, share it for advertising, or use it for purposes unrelated to serving you. Our subprocessors are listed in our Privacy Policy. We'll provide reasonable assistance if you receive a privacy rights request from an End User, and we'll delete or export End User Data as described in Section 15.
What you do. You're responsible for: having a lawful basis to collect End User Data through your site; maintaining an accurate privacy notice for your site; responding to End Users' privacy requests; and complying with applicable law in your use of leads, including any texting or email outreach you conduct.
11. Acceptable Use
Don't use the Services to:
- violate any law, including fair housing and anti-discrimination laws;
- publish content that is discriminatory, harassing, defamatory, or deceptive — including fake reviews or testimonials, misrepresented credentials, or misleading property claims;
- infringe intellectual property, privacy, or publicity rights;
- send spam or conduct outreach to people who haven't consented where consent is required;
- upload malware or attempt to probe, breach, or disrupt the Services or other people's sites or data;
- scrape, harvest, or bulk-extract data from the Services other than your own;
- misrepresent who you are, or publish a site for someone who isn't a party to these Terms without our written approval;
- resell or white-label the Services without a written agreement with us; or
- circumvent billing, promo-code limits, or usage limits.
We may investigate violations and may remove content, unpublish sites, and suspend or terminate accounts as described in Section 15.
12. Third-Party Services
The Services interoperate with third-party services — for example, Stripe (payments), messaging networks including Apple iMessage and carrier SMS, AI model providers, and any third-party tools you connect or embed. Third-party services are governed by their own terms, and we aren't responsible for them. Your use of Apple's iMessage service is subject to Apple's terms.
13. Our Intellectual Property
We own the Services — including the Halo software, models and prompts, site templates and design systems, and our trademarks. These Terms don't grant you any rights in them except the limited right to use the Services as described. If you send us feedback or suggestions, we may use them without obligation to you.
14. Copyright Complaints (DMCA)
We respond to copyright notices under the Digital Millennium Copyright Act. If you believe content hosted on the Services infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to our designated agent:

We may remove or disable access to allegedly infringing material, will forward counter-notices as the DMCA provides, and terminate the accounts of repeat infringers in appropriate circumstances.
15. Suspension, Termination, and Data Export
By you. You may stop using the Services and cancel your subscription at any time (Section 4). You may also ask us to close your account and delete your data — see our Privacy Policy.
By us. We may suspend or terminate your access (including unpublishing sites) if you materially breach these Terms, don't pay amounts owed, create legal or security risk, or if we're required to by law. Where practical, we'll notify you and give you a chance to fix the problem first. If we terminate without cause, we'll refund any prepaid fees for the unused remainder of your term.
Effect. On termination, your licenses to use the Services end and your published sites may be taken offline. This includes sites and other deliverables from one-time purchases: we host them while you have an account with us (Section 4), not for a fixed term, so they may go offline when your account ends. You can export your content before that happens, as described below.
Export. For 30 days after termination or account closure, you may request an export of your site content, media, and leads, and we'll provide it in a reasonable format. After that window we delete your data on our normal schedules (see the Privacy Policy), except as we're required or permitted to retain it.
Sections that by their nature should survive (including 5–6 licenses/warranties, 10, 13, 14, and 16–22) survive termination.
16. Disclaimers
THE SERVICES AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WITHOUT LIMITING THE ABOVE: WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, ORIGINAL, OR COMPLIANT WITH LAWS OR MLS RULES; AND WE DO NOT GUARANTEE ANY BUSINESS OUTCOME — LEADS, TRAFFIC, SEARCH RANKINGS, AI-ASSISTANT CITATIONS, OR SALES.
Some jurisdictions don't allow certain disclaimers, so parts of this section may not apply to you.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR $100.
These limits don't apply where they can't lawfully apply (for example, to liability for fraud, gross negligence, or willful misconduct) and don't limit your payment obligations or either party's indemnification obligations.
18. Indemnification
You will defend and indemnify us against third-party claims (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your published sites and marketing, including alleged violations of fair housing, licensing/advertising, MLS, or telemarketing/texting laws; (c) your collection and use of End User Data and leads; or (d) your breach of these Terms — except to the extent a claim results from our breach of these Terms.
19. Dispute Resolution — Arbitration and Class Waiver
Talk to us first. Before filing a claim, you agree to email a written description of the dispute to support@huzi.ai and give us 60 days to try to resolve it informally. We'll do the same before bringing a claim against you.
Arbitration. Except for the carve-outs below, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. The Federal Arbitration Act governs this section. The arbitrator decides all issues except that a court decides arbitrability and the enforceability of the class waiver.
Carve-outs. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Services.
Class action waiver. Disputes will be resolved only on an individual basis — neither party may participate in a class, collective, consolidated, or representative action. If this waiver is found unenforceable as to a claim, that claim proceeds in court, not arbitration.
Coordinated filings. If 25 or more similar demands are filed by or with the assistance of the same counsel or organization, the parties agree the AAA will administer them in batches of up to 100, with a single set of filing fees per batch, and each claimant's right to an individual determination preserved.
Opt-out. You may opt out of this arbitration agreement by emailing support@huzi.ai within 30 days of first accepting these Terms, with your name, account phone/email, and a statement that you opt out of arbitration. Opting out doesn't affect any other part of these Terms.
Governing law and venue. These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Court proceedings permitted under this section must be brought in the state or federal courts located in Multnomah County, Oregon, and both parties consent to their jurisdiction.
20. Changes to These Terms
We may update these Terms. If a change is material, we'll give you at least 30 days' notice by text, email, or in-app notice before it takes effect, and your continued use after the effective date constitutes acceptance. Changes don't apply retroactively to disputes that arose before the change. If you don't agree to a change, stop using the Services and cancel before it takes effect.
21. Affiliate and Partner Programs
Affiliate Program. Halo customers may share a personal affiliate code and earn commission on subscriptions purchased with it. Participation is governed by the Affiliate Program Terms presented when you enroll, and each later version you accept, which are incorporated into these Terms for participants. Commission is paid first as credit against your own Halo subscription and, above that, in cash through Stripe to a payout account you verify.
Partner Program. Brokerages, teams, and other organizations may take part in Halo's partner program under a separate written agreement with us, which governs that relationship together with these Terms.
Independent relationship. Affiliates and partners are independent contractors. Nothing in either program is an offer of employment, agency, a partnership or joint venture, or a franchise or business opportunity. Participants are responsible for taxes on what they earn and for disclosing their relationship with Halo when they recommend it, as endorsement and advertising laws require.
If you sign up with someone's code or through a partner. The affiliate whose code you used can see your name and account email, whether the commission on your payments is still clearing, and what they have earned from your subscription — never your conversations, sites, leads, phone number, or payment details. A partner organization you are attributed to (for example, your brokerage) can see your name, contact details, subscription plan and status, and sign-up date. Our Privacy Policy describes this sharing in more detail. Using a code or partner link does not change what you pay.
We may change, suspend, or end either program. Commission is reversed when a referred payment is refunded or charged back, and may be withheld or reversed where these Terms or the applicable program terms are breached, as those terms describe.
22. General
These Terms plus the documents they reference are the entire agreement between us about the Services. If a provision is unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given by text message to your registered number, email, or in-app notice; notices to us go to the contact below. Neither party is liable for delays caused by events beyond its reasonable control. You may not use the Services in violation of US export controls or sanctions.
